3.2 Milestone Acceptance Process
For each milestone:
- VRV delivers milestone deliverables for Client review
- Client has business days to review and provide written feedback
- Feedback must be specific, in writing, and reference SOW specifications
- VRV addresses feedback within agreed revision rounds
- Silence after days = automatic acceptance
- Accepted milestone triggers payment per schedule above
3.3 Timeline Adjustments for Client Delays
Automatic Extensions: If Client delays any of the following beyond business days, all subsequent milestone dates automatically extend by the delay period:
- Deliverable review and approval
- Content, assets, or materials submission
- Access to systems, accounts, or information
- Required decisions or strategic direction
Example: If Client takes 12 business days to review a design milestone (7 days late), all subsequent milestones shift by 7 business days. No change order required.
VRV’s Commitment: We will notify Client immediately if delays impact the schedule and provide updated timeline projections.
4. Investment & Payment Terms

4.2 Payment Schedule
All payments are due per the milestone schedule in Section 3.1 and the terms in MSA Section 3.

5. Ownership & Services

What You Get:
- Complete source code ownership upon cleared final payment + ownership fee
- Full intellectual property rights transfer (perpetual, exclusive, transferable)
- All project files, design assets, documentation, and source code repository
- Freedom to modify, host anywhere, hire any developer for future work
- No ongoing VRV fees (optional support available under separate agreement)
Delivered Within Days:
- Complete GitHub/GitLab repository with all source code
- All design files (Figma, Sketch, Adobe XD, or exported formats)
- Database exports and backups (if applicable)
- Technical architecture documentation
- Deployment and build instructions
- All access credentials (hosting, DNS, third-party services)
Your Responsibilities:
- Website hosting and infrastructure costs (ongoing)
- Security updates, patches, and maintenance
- SSL certificate renewals
- Domain and DNS management
- Future enhancements, features, and bug fixes (can hire VRV or others)
Transfer Timing: IP ownership transfers only after both (a) cleared final payment AND (b) cleared ownership package fee. Until full payment, VRV retains all IP rights. See MSA Section 6 (Option A) for complete legal terms.

Licensing Terms:
- VRV retains all source code and intellectual property ownership
- Client receives perpetual, non-transferable usage license
- Client may use website for business operations and display publicly
- Client may update content through provided CMS or admin interfaces
- Client may NOT access, modify, or edit source code
- Client may NOT reverse engineer, copy, or duplicate website architecture
- Client may NOT transfer website to third-party hosting without VRV migration services
Major Enhancements: Work beyond included hours/month billed separately at /hour in -hour minimum increments.
Termination:
- Cancel anytime with days written notice
- Client retains perpetual usage license to website as delivered at termination date
- VRV provides final website export/backup
- Client has days to migrate to own hosting
- After migration period, VRV may delete all Client data and website files
- Option to purchase full ownership package at then-current rates (typically $)

6. Client Responsibilities
To keep the project on schedule and within budget, Client agrees to provide:

6.4 Single Point of Contact
Client designates ** as the primary decision-maker with authority to:

- Authorize changes and expenses
- Make binding decisions on behalf of Client
Feedback from multiple stakeholders must be consolidated through the designated contact to avoid conflicting direction.
6.5 Consequences of Delays
Client-caused delays automatically extend timelines per Section 3.3. Extended delays (beyond days cumulative) may result in:
- Project suspension until materials received
- Re-scheduling fees if VRV resources reallocated
- Project cancellation per MSA Section 13
7. Assumptions & Dependencies
This SOW is based on the following assumptions. Changes to these assumptions may require a Change Order.
7.1 Technical Assumptions
- Client’s existing infrastructure supports project requirements
- Third-party services remain available and maintain current APIs
- No major platform or framework version upgrades required mid-project
7.2 Project Dependencies

7.3 Excluded Assumptions
This SOW does NOT include or assume:
- Data migration from legacy systems (unless explicitly stated)
- Content creation or copywriting (Client provides all content)
- Photography or videography services
- Ongoing marketing, SEO campaigns, or content updates beyond launch
- Training beyond hours

8.4 Quality Assurance Process

9. Change Management
Changes beyond the agreed scope require a written Change Order per MSA Section 4.
9.1 Change Order Process

10. Key Terms Summary
All terms below are governed by the MSA. This summary is for quick reference only; see MSA for complete details.
Acceptance & Reviews: business days to review deliverables; silence = acceptance; design revisions and dev revisions included. (MSA Section 5)
Warranty: -day workmanship warranty post-launch covers defects in VRV’s work. Excludes client edits, hosting issues, third-party outages, browser updates, force majeure. (MSA Section 8)
Security & Privacy: Commercially reasonable security practices; breach notification within hours; WCAG 2.2 AA accessibility efforts. (MSA Section 9)
Confidentiality: Both parties protect confidential information; survives years post-termination. (MSA Section 10)
Liability Cap: VRV’s total liability capped at fees paid under this SOW. No indirect or consequential damages. Exceptions for indemnification, willful misconduct, IP violations. (MSA Section 11)
Indemnification: Client indemnifies for supplied materials; VRV indemnifies for custom work IP infringement (excluding third-party components). (MSA Section 12)
Termination: Either party may terminate with days notice or immediately for cause with -day cure period. Client pays work-to-date + % of remaining fees. (MSA Section 13)
Subcontractors: VRV may use subcontractors; remains fully responsible. (MSA Section 14)
