Overview

This Mini Statement of Work (“Mini-SOW”) is entered into between Valor Rate Ventures, LLC (“VRV”) and ** (“Client”) for the project. This Mini-SOW is governed by and incorporates the terms of the VRV Pages Master Services Agreement. In the event of any conflict between this Mini-SOW and the Master Agreement, the Master Agreement shall prevail.

5. Payment Terms

  • Deposit: due at signing

  • Final Payment: due before site launch
  • Payment Methods: ACH, wire transfer, check
  • Late Fees: 1.5% per month on overdue balances

6. Ownership & Services

  • Client receives complete source code ownership
  • Full intellectual property rights transfer at final payment
  • Client manages hosting, updates, and maintenance
  • No ongoing VRV fees required

  • Includes hosting, security updates, and technical support
  • Monthly billing begins after launch

7. Key Terms

Warranty Period: days of bug fixes and technical support after launch.

Change Requests: Changes beyond the agreed scope are billed at /hour with advance approval.

Confidentiality: Both parties agree to protect confidential information per the Master Agreement.

Termination: Either party may terminate with days written notice. Client pays for work completed to date.

Governing Law: This Mini-SOW is governed by the laws of .

8. Master Agreement

This Mini-SOW incorporates by reference the VRV Pages Master Services Agreement dated , which includes complete terms regarding:
